Introduction

These Terms of Use govern your use of OnlyUG, a content-sharing platform for Ugandans, owned and operated by Zentrix Innovative Labs Limited, located at Plot 19-22, Port Bell Road, Nakawa, Kampala, Uganda. By using OnlyUG, you agree to these terms, so please read them carefully. If you do not agree with these Terms of Service, you should refrain from using OnlyUG.

 

1. Changes to Terms of Service

We may modify these Terms of Service at any time. If significant changes are made, we will notify you through the platform. Continued use of OnlyUG after the updated terms go into effect constitutes acceptance of those changes.

 

2. Key Definitions

• OnlyUG: Refers to the website www.onlyug.tech and all services associated with it.
• Zentrix Innovative Labs Limited: The Ugandan company that owns and operates OnlyUG.
• User: Any individual using OnlyUG, whether a Creator or a Fan.
• Creator: A user who uploads and shares content on OnlyUG for Fans to view.
• Fan: A user who subscribes to access a Creator’s content.
• Content: Any media uploaded to the platform, including text, videos, audio, and images.
• Fan Payment: Any payment made by a Fan to a Creator.
• Subscription: An arrangement between a Fan and a Creator where the Fan pays for access to a Creator’s content for a specific period.

 

3. User Eligibility

To register as a user of OnlyUG:

• You must be at least 18 years old.
• You must be legally allowed to enter into a binding contract under Ugandan law.
• You agree to provide accurate information during registration and keep your details up to date.

 

4. Creator Accounts

Creators must provide:

• A valid form of identification (ID) for age verification.
• Payment details to receive earnings.
• Content for fans to view upon subscription.

Creators are responsible for all content uploaded to their accounts and must ensure it complies with OnlyUG’s Acceptable Use Policy.

 

5. Content and Responsibility

• Content uploaded to OnlyUG is not confidential. Fans are granted access to a Creator’s content for personal use only.
• Creators are solely responsible for the legality, accuracy, and quality of the content they upload.
• OnlyUG reserves the right to remove content that violates these terms.

 

6. Fan Subscriptions and Payments

• OnlyUG allows Fans to subscribe to Creators’ content, and subscriptions are automatically renewed unless canceled.
• All payments are processed in Ugandan Shillings (UGX), and applicable taxes may be added.
• Fans agree not to request unjustified chargebacks or refunds for payments made to Creators. If a request is made in bad faith, OnlyUG may suspend or delete the user’s account.

 

7. Creator Earnings and Fees

• Creators earn 80% of the payments made by Fans, with 20% retained by OnlyUG as a service fee.
• Earnings are processed by third-party payment providers, and any applicable banking fees or currency conversion charges are borne by the Creator.
• If a Fan successfully requests a refund, the refunded amount will be deducted from the Creator’s earnings.

 

8. Tax Compliance

• Creators are responsible for managing their own tax obligations and reporting earnings to relevant Ugandan tax authorities.
• OnlyUG does not provide tax advice or manage tax filings for Creators.

 

9. Acceptable Use Policy

All users must comply with OnlyUG’s Acceptable Use Policy, which prohibits:

• Uploading illegal or harmful content.
• Promoting or participating in fraudulent activities.
• Sharing content that infringes on third-party intellectual property rights.

 

10. Account Suspension or Termination

OnlyUG reserves the right to suspend or terminate any account at any time, especially in cases where:

• The user violates these Terms of Service.
• Fraudulent activity is suspected.
• The user provides false information during registration.

If an account is terminated, the user will lose access to their content and any remaining balances in their account.

 

11. Intellectual Property Rights

• Creators retain ownership of the content they upload to OnlyUG.
• By uploading content, Creators grant OnlyUG a worldwide, royalty-free license to display and distribute the content on the platform.
• OnlyUG does not sell users' content but may use it to improve the platform's features and functionality.

 

12. Limitation of Liability

OnlyUG and Zentrix Innovative Labs Limited are not liable for:

• Any indirect, incidental, or consequential damages arising from the use of the platform.
• Any content uploaded by users or any unauthorized use of content by third parties.
• Technical issues, service interruptions, or loss of data.

 

13. Complaints and Appeals

If you have any complaints regarding OnlyUG, please refer to our Complaints Policy. If you disagree with any action taken regarding your account or content, you may submit an appeal in accordance with our Appeals Policy.

 

14. Governing Law

These Terms of Service are governed by the laws of the Republic of Uganda. Any disputes arising from or in connection with your use of OnlyUG will be subject to the jurisdiction of Ugandan courts.
